Vistra Announces Acquisition of Cogentrix Energy's 5,500 MW Gas-Fired Fleet is Complete

LCG, November 2, 2026--Vistra Corp. announced on October 30 that, following receipt of all required regulatory approvals, it has completed the acquisition of Cogentrix Energy from funds managed by Quantum Capital Group. The acquisition consists of 10 natural gas-fired power generation facilities totaling nearly 5,500 MW of capacity. The addition of Cogentrix's facilities to Vistra's existing generation portfolio raises Vistra's U.S. generation portfolio to nearly 50,000 MW.

The acquisition further expands Vistra's generation portfolio, adding efficient, gas-fired combined-cycle combustion turbine and cogeneration assets in key regions: PJM (3,163 MW), ISO New England (1,750 MW), and ERCOT (271 MW). The closing follows Vistra's prior large acquisitions, including: Energy Harbor in March 2024, which added approximately 4,000 MW of nuclear generation, and seven natural gas plants from Lotus Infrastructure Partners in October 2025, which added more than 2,300 MW of capacity to Vistra's current fleet.

Vistra's president and chief executive officer said, "Natural gas plays a critical role in meeting our nation's growing energy needs, and the Cogentrix assets are a strong strategic fit for Vistra as we continue to grow our generation portfolio. We're excited to bring these experienced teams together around a shared commitment to safety, operational excellence, and reliability. Our Vistra team knows how to successfully integrate generation assets into our fleet, and we look forward to building on Cogentrix's strengths and delivering long-term value for our stakeholders."

The acquired facilities located in PJM are: Patriot (881 MW), Hamilton-Liberty (881 MW), Lakewood (286 MW), Rock Springs (740 MW), and Ocean (375 MW). The acquired facilities located in ISO-NE are: Newington (624 MW), Bridgeport (558 MW), Tiverton (297 MW), and Rumford (271 MW). The facility acquired in ERCOT is Altura Cogeneration (583 MW).
